1. The platform

45PASS provides software for organizers to run VIP experiences. The platform is free to use; a platform fee applies to each VIP sale, collected via Stripe Connect.

2. Payments

Funds settle to the organizer's connected Stripe account. The platform fee is taken as an application fee. Denied passes are refunded automatically.

3. Organizer obligations & data co-ownership — [COUNSEL REVIEW REQUIRED]

Organizers agree to lawful use of fan data and conduct intelligence. Allocation of ownership and license between organizer and 45PASS requires counsel review.

4. Conduct records & liability — [COUNSEL REVIEW REQUIRED]

Conduct records are factual and may affect access across the network. Defamation, accuracy, and dispute-handling obligations require counsel review.

5. Identity verification

All pass holders must complete identity verification. Misrepresentation may result in denial or revocation without refund where permitted.
